Terms of Service

These Terms of Service (“Terms”) govern your use of the website located at rejoyce.ai (the “Site”) and the Primary Experience available at app.rejoyce.ai (the “Primary Experience”), each operated by Rejoyce, Inc. (“Rejoyce,” “we,” “us”). By accessing or using the Site or the Primary Experience, you agree to these Terms. If you do not agree, please do not use them.

1. Acceptable Use

You may use the Site and the Primary Experience for lawful purposes only. You agree not to:

• Use the Site or the Primary Experience in any way that violates applicable law or regulation
• Attempt to gain unauthorized access to any portion of the Site, the Primary Experience, our systems, or related infrastructure
• Interfere with or disrupt the Site, the Primary Experience, or the servers and networks connected to them
• Use any automated system (scrapers, bots, etc.) to access the Site or the Primary Experience beyond what is permitted by our robots.txt
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, model architecture, or underlying methodology of the Primary Experience
• Share authentication credentials or session access with anyone outside your organization
• Reproduce, distribute, modify, or create derivative works of Site content or Primary Experience output except as expressly permitted under Sections 2 and 4 below
• Submit false or misleading information through any form on the Site or as input to the Primary Experience

2. Intellectual Property

All content on the Site and the Primary Experience — including text, graphics, logos, diagrams, the Rejoyce model, the Mirror substrate, Joyce (the interpretation layer), the Capability Framework, the Execution Physics methodology, sector calibrations, sector POVs, and all related frameworks, methodologies, and technical implementations — is owned by Rejoyce, Inc. or its licensors and is protected by U.S. and international intellectual property laws.

You may:

• View the Site for personal or professional informational purposes
• Share links to Site pages on social media and professional networks
• Quote brief excerpts with proper attribution to Rejoyce
• Use the Primary Experience output and session export within your own organization as described in Section 4

You may not, without our written permission:

• Reproduce significant portions of Site content for commercial purposes
• Use Rejoyce’s name, logo, or trademarks in any form that suggests endorsement or affiliation
• Use the Strategic Execution Intelligence substrate, the Mirror, the Capability Framework, the Execution Physics methodology, sector POVs, or related intellectual property for commercial purposes outside of an authorized engagement with Rejoyce
• Republish, resell, license, or distribute Primary Experience output or session exports as your own work or as a product
• Use Primary Experience output to train, fine-tune, or develop competing AI models, software products, or analytical methodologies

3. The Primary Experience Is Informational, Not Professional Advice

The content on the Site and the output generated by the Primary Experience — including causal reads, situational analyses, sector POVs, capability scores, constraint identification, and recommended actions — is provided for informational purposes only. It is not professional advice. Site and Primary Experience content does not constitute consulting, legal, financial, accounting, tax, or other professional advice, and should not be relied upon as such.

The Primary Experience generates an analytical read calibrated to your inputs. The user retains full responsibility for any business decision made based on that read. If you need professional advice on your specific situation, please engage Rejoyce under a paid customer agreement or consult another qualified advisor directly. Using the Primary Experience does not create an advisory, consulting, or fiduciary relationship with Rejoyce.

4. Primary Experience Terms

The Primary Experience is currently provided as a free, evaluation-stage offering to qualified visitors who request access. Subject to your compliance with these Terms, Rejoyce grants you a limited, non-exclusive, non-transferable, revocable license to:

• Authenticate into the Primary Experience using the email address you provided in the request form
• Complete a Primary Experience session by entering your company profile and decision-system inputs
• Receive the calibrated session output (the read, the causal trace, the situational analysis, and the sector POV at step three)
• Download the session export at step five and use it internally within your organization — including sharing with your team, board, advisors, and other stakeholders who have a legitimate business need to review it

Specifically, you may NOT:

• Republish, resell, license, sublicense, or distribute the session export as a product, service, or your own analytical work
• Share the session export with competitors of Rejoyce, with anyone seeking to develop competing analytical methodologies, or with the general public
• Use the session export, the Sector POV, or any Primary Experience output to train, fine-tune, or develop competing AI models or software products
• Use Primary Experience output as the basis for a public claim that Rejoyce has endorsed your business, decisions, or actions

Submitting a request form, completing a Primary Experience session, or downloading a session export does not create a commercial relationship between you and Rejoyce. A paid commercial relationship begins only when you execute a written customer agreement with Rejoyce. Until that agreement is in place, the Primary Experience remains a free evaluation offering subject to these Terms.

5. Third-Party Services and Peer Firms

The Site and the Primary Experience use a small number of third-party services to operate, including HubSpot (for the website and form submissions) and Pipedrive (for customer relationship management). Your use of these services as integrated into the Site and Primary Experience is governed by these Terms; your direct use of those services outside the Rejoyce relationship is governed by their respective terms.

The Site may reference Zero Fog, LLC, the peer firm that practices Strategic Execution Intelligence as a founder-led consulting engagement. Zero Fog licenses the Rejoyce substrate under a partnership agreement. Zero Fog is an independent firm; its services, terms, and relationships with its own clients are not governed by these Terms and are not the responsibility of Rejoyce.

6. Accuracy of Information

We make reasonable efforts to ensure Site content and Primary Experience output are accurate, useful, and consistent with the methodology underlying them. However, we make no warranty or representation that any content or output is complete, accurate, current, error-free, or suitable for any particular purpose. We may update, modify, or remove content at any time without notice. Frameworks, methodologies, model calibrations, and the Primary Experience itself evolve as our platform and the Strategic Execution Intelligence discipline mature.

7. Disclaimer of Warranties

THE SITE, THE PRIMARY EXPERIENCE, AND ALL CONTENT AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, REJOYCE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site or the Primary Experience will be uninterrupted, secure, error-free, or free of viruses or other harmful components. We do not warrant that the Primary Experience output will produce any specific business outcome.

8. Limitation of Liability

To the fullest extent permitted by law, Rejoyce, its officers, directors, employees, contractors, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or the Primary Experience, even if we have been advised of the possibility of such damages. In no event shall our total liability to you for all claims arising out of or related to your use of the Site or the Primary Experience exceed one hundred U.S. dollars ($100).

This limitation applies to all use of the Site and the Primary Experience under these Terms. If you become a paid customer of Rejoyce under a separate customer agreement, the liability terms in that customer agreement will govern the paid services and will supersede this limitation for those services.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Rejoyce, Inc. and its officers, directors, employees, contractors, and licensors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms or your misuse of the Site, the Primary Experience, or any Primary Experience output.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any disputes arising out of or related to these Terms, the Site, or the Primary Experience shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

11. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised “Last updated” date. Your continued use of the Site or the Primary Experience after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

12. Termination

We may suspend or terminate your access to the Site or the Primary Experience at any time, without notice, for any reason — including violation of these Terms. Upon termination, all provisions of these Terms that by their nature should survive will survive, including intellectual property provisions, Primary Experience license restrictions, warranty disclaimers, limitations of liability, indemnification, and dispute resolution.

13. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by Rejoyce on the Site, constitute the entire agreement between you and Rejoyce regarding your use of the Site and the Primary Experience. If you become a paid customer, the customer agreement you execute will supersede these Terms with respect to the paid services covered by that agreement. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
